Agreement between you (customer) and Opengate Travel LLC

Welcome to prime-flights.com. This Website is provided solely to assist customers in gathering travel information, determining the availability of travel-related goods and services, making legitimate reservations, and transacting business with travel suppliers. The terms "we", "us", "our", "Opengate Travel LLC" refer to a travel agency focusing on the sale of business class air travel to corporate and high-end leisure customers. The term "you" refers to the customer visiting the Website and/or booking through our customer service agents.

Acceptance of Terms

This Website is offered to you conditioned upon your acceptance without modification of all the terms, conditions, and notices set forth below (the "Terms and Conditions" or "Agreement"). Please read these Terms carefully — they contain important information about limitations of liability and resolution of disputes through arbitration rather than in court.

By accessing or using this Website, contacting our agents, or purchasing our services, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions and our Privacy Policy. If you do not agree, please do not use this Website or book any services through our agents.

We do not sell, organise, or arrange packages. You will not benefit from rights applying to packages under the EU Package Travel Regulations, and we will not be responsible for the proper performance of additional travel services.

Disputes & Arbitration

The exclusive means of resolving any dispute or claim arising out of or relating to this Agreement shall be BINDING ARBITRATION administered by the American Arbitration Association. You give up your right to go to court to assert or defend any claims between you and the Company (except matters that may be taken to small-claims court). You also give up your right to participate in a class action or other class proceeding.

The one exception is that you have the right to bring an individual claim in a small-claims court of competent jurisdiction. Under no circumstances may you commence or maintain a class action, class arbitration, or other representative proceeding against the Company.

Your rights will be determined by a neutral arbitrator, not a judge or jury. The arbitrator can grant any relief that a court can. Decisions by the arbitrator are enforceable in court and may be overturned only for very limited reasons.

In the event this arbitration agreement is held to be unenforceable, any litigation against the Company (except small-claims actions) may be commenced only in the federal or state courts located in New York, New York. This Agreement shall be governed by the laws of the state of New York.

You may decline this agreement to arbitrate by sending an arbitration opt-out letter to info@prime-flights.com within 30 days of first accepting these Terms.

Use of the Website & Services

As a condition of your use, you warrant that:

We retain the right to deny access to anyone at any time for any reason, including violation of these Terms and Conditions.

General Rules & Conditions

You agree to use our services for personal use only and to book tickets only for yourself or someone whose permission you have. Name changes on tickets are not allowed — only the original passenger can use the ticket(s).

Airline tickets, hotel accommodations, and all service fees may not be refundable. If fare rules allow refunds and/or exchanges, a $250 per person processing fee will be charged in addition to any applicable carrier fees upon cancellation or exchange.

You will not receive a monetary refund when cancelling. Instead, you will receive a credit (less any airline/hotel fees) towards a future ticket purchase on long-haul international flights of equal or greater value, valid for up to twelve (12) months from your original date of purchase.

No-Show tickets cannot be refunded or exchanged. Unless the reservation is cancelled and the trip rescheduled prior to the original departure date, the ticket is suspended and refunds are not possible.

Please check your email frequently for schedule change notifications and verify current flight information 72 hours prior to scheduled departure. The recommended check-in time for all international flights is a minimum of 3 hours before departure. The ticket can only be used in the sequence it was issued — out of sequence usage is not allowed.

If your ticket is not honoured for any reason, please contact your agent immediately. Your ticket is guaranteed up to the amount paid, and Opengate Travel LLC will replace your ticket within 24 hours, offer a full refund, or provide alternative options within 24 hours.

Under consumer legislation, tickets are not subject to the right of withdrawal and you have no 14-day cooling-off period for bookings.

Baggage Allowance

Travellers may have to pay additional fees at the airport if their checked items exceed the weight, size, or number specified in the airline's standard baggage allowance. Some airlines do not offer any free baggage allowance. Baggage policies and fees vary widely and are subject to change by the airlines at any time. Please check with your carrier before travel.

Frequent Traveller Points

Frequent traveller awards (miles, points, etc.), upgrades, certificate vouchers and other discounts or incentives may not apply to Opengate Travel LLC bookings. Mileage accrual may not apply to all tickets. Please discuss this with your agent for more information.

Supplier Rules & Restrictions

Additional terms and conditions will apply to your reservation and purchase of travel-related goods and services from airline and hotel suppliers. You agree to abide by the terms and conditions of purchase imposed by any supplier with whom you elect to deal, including payment of all amounts when due and compliance with availability, fare, and usage rules.

We reserve the right to cancel your booking if full payment is not received in a timely manner. Some suppliers may require a credit card or cash deposit upon check-in to cover additional expenses — this deposit is unrelated to any payment received by Opengate Travel LLC.

Any violation of supplier rules may result in cancellation of your reservation, denial of access to travel products, forfeiture of monies paid, and/or debit of your account for costs we incur as a result of such violation.

Travel Documents & Visa Requirements

International travel requires a valid passport, which must be presented for all international flights. Some countries require a visa and/or health card. It is the passenger's sole responsibility to have all required travel documents at check-in.

Passengers transiting via the European Union Schengen Zone may need a Schengen Entry visa. Please contact the embassy of your destination and any transit countries to obtain up-to-date requirements. Visa information is also available from the U.S. State Department at www.state.gov or by calling 202-647-5225.

Opengate Travel LLC urges passengers to review travel advisories issued by the EU and US Government prior to booking. By offering travel to particular destinations, prime-flights.com does not represent that travel is advisable or without risk, and is not liable for damages resulting from travel to such destinations.

Exchanges, Cancellations & Refunds

Confirmed tickets are non-reroutable and non-transferable. If fare rules allow refunds and/or exchanges, a Opengate Travel LLC processing fee will be charged in addition to any airline penalties. Reservations must be cancelled at least 24 hours prior to scheduled departure — no-show tickets will not be processed for refund or exchange.

All exchanges are subject to fare difference and fare rules applicable on the date of change. Cancellation of a reservation does not automatically initiate a refund. Discounted fares are generally more restrictive and in many cases non-refundable and non-exchangeable.

The airlines strictly follow their policies. Opengate Travel LLC has no power to override airline fare restrictions once tickets are issued.

Ticket Delivery

All tickets sold by Opengate Travel LLC are electronic tickets (e-Tickets) sent to the email address provided during booking. Once issued, you will receive an email confirmation including the ticket number and reservation numbers for each airline on your itinerary.

Payment Information

By paying, you confirm the card is yours or that you have the right to use it. We accept all major credit cards: Visa, MasterCard, American Express, Diners Club, and Discover. All credit cards must have a verifiable billing address in the EU, US, Canada, UK, Australia, Singapore, or other approved country.

Credit card transactions are authorised at the time you accept these Terms and continue with the purchase. When transactions are flagged as high risk, we may contact you or your bank before processing. Fraudulent transactions are reported to airport security, airlines, and law enforcement. Simply submitting a credit card does not automatically guarantee ticketing — all bookings and fares are not guaranteed until ticketed by the supplier.

Limitation of Liability

The carriers, hotels and other suppliers providing services on this website are independent contractors and not agents or employees of Opengate Travel LLC. Opengate Travel LLC and its affiliates are not liable for the acts, errors, omissions, representations, warranties, breaches or negligence of any such suppliers, or for any personal injuries, death, property damage, or other damages resulting therefrom.

By using the Website and/or our services, you irrevocably waive any claim against Opengate Travel LLC, its subsidiaries, affiliates, officers, directors, managers, agents, contractors or employees for:

Opengate Travel LLC does not assume any liability for cancelled flights, flights that are missed, or flights not connecting due to schedule changes made by the relevant airline.

Credit Card Chargebacks

If you have a question about a charge, we encourage you to call Opengate Travel LLC before disputing with your credit card company. Opengate Travel LLC retains the right to dispute any chargeback it believes is improper and to fully cancel any booking in the event of a chargeback related to that booking.

The following chargeback scenarios are deemed improper:

You unconditionally authorise Opengate Travel LLC to charge your credit card with the amount of any chargeback related to services used, and with any chargeback fees applied by the bank to a chargeback subsequently rejected by the bank.

Warsaw & Montreal Convention

Passengers on journeys involving an ultimate destination or stop in a country other than the country of departure are advised that the Montreal Convention, or its predecessor the Warsaw Convention, may apply to the entire journey. These Conventions govern and may limit carrier liability for death or bodily injury, loss of or damage to baggage, and delay.

Montreal Convention limits (where applicable):

You may benefit from a higher baggage liability limit by making a special declaration of value at check-in and paying any applicable supplementary fee. If the value of your baggage exceeds the applicable limit, you should fully insure it before travel.

Time limits for baggage claims: Written notice to the carrier must be made within 7 days of receipt of checked baggage for damage, and within 21 days from the date it was placed at your disposal for delay.

Important Travel Notices

YOU CANNOT TRAVEL IF YOU DO NOT HAVE ALL REQUIRED TRAVEL DOCUMENTS, SUCH AS A PASSPORT AND VISA. Governments may require your carrier to provide information on or permit access to passenger data.

Denied Boarding: Airline flights may be overbooked. If a flight is overbooked, airline personnel will first ask for volunteers willing to give up their reservation in exchange for compensation. If there are not enough volunteers, the airline will deny boarding in accordance with its boarding priority. Check with your airline for full boarding rules.

Dangerous Goods: For safety reasons, dangerous goods must not be packed in checked or cabin baggage except as specifically permitted. Dangerous goods include compressed gases, corrosives, explosives, flammable liquids and solids, radioactive materials, oxidising materials, poisons, and infectious substances.

Indemnification

You agree to protect and indemnify Opengate Travel LLC, its affiliates, partners, joint ventures, suppliers, officers, directors, managers, employees and agents from and against any claims, causes of action, demands, losses, damages, fines, penalties or other costs including reasonable legal and accounting fees, brought by:
